Terms and Conditions
These Terms and Conditions (“Terms”) govern your access to and use of the software platform, website, and related services provided by Recuvery Ltd (“Recuvery”, “we”, “us”, or “our”).
These Terms form a legal agreement between you and Recuvery Ltd. By accessing, registering for, subscribing to, or using the Service, you agree to be bound by these Terms and our Privacy Policy available at https://recuveryapp.co.uk/privacy-policy.
If you are using the Service on behalf of a company, partnership, or other organisation, you confirm that you have authority to bind that organisation to these Terms.
Recuvery provides software services only. Recuvery is not a bank, payment institution, debt collection agency, legal adviser, or fiduciary. Where payment functionality is made available through the Service, payment processing is provided by third-party payment service providers, such as Stripe, under their own terms and privacy policies.
1. Definitions
1.1 “Administrator”
means a Subscriber-authorised user with permission to manage the Subscriber’s account, subscription, billing settings, and user access, and to designate additional Authorised Users on behalf of the Subscriber.
1.2 “Agreement”
means these Terms and Conditions together with the Privacy Policy and any order form, subscription plan, pricing page, or other documents expressly incorporated by reference.
1.3 “Authorised User”
means an individual who is authorised by the Subscriber to access and use the Service on the Subscriber’s behalf, including its employees, contractors, consultants, or other permitted personnel.
1.4 “Confidential Information”
means any non-public information disclosed by one party to the other in connection with this Agreement that is identified as confidential or that would reasonably be understood to be confidential by its nature, including business information, technical information, software, product plans, security information, customer information, pricing, and other proprietary materials. Confidential Information does not include information that:
(a) is or becomes publicly available without breach of this Agreement;
(b) was lawfully known to the receiving party before disclosure;
(c) is lawfully received from a third party without restriction; or
(d) is independently developed without use of the disclosing party’s Confidential Information.
1.5 “Content”
means any data, text, documents, invoices, contact information, communications, files, or other materials submitted, uploaded, transmitted, or stored by or on behalf of the Subscriber or its Authorised Users through the Service.
1.6 “Primary Subscriber”
means the person or entity that creates the account for the Service and is treated by Recuvery as the main contractual customer unless otherwise agreed in writing.
1.7 “Client”
means a customer, contact, invoice recipient, or other third party whose information is entered into or managed through the Service by the Subscriber or an Authorised User.
1.8 “Service”
means the Recuvery software platform, website, applications, features, tools, integrations, and related support services made available by Recuvery from time to time.
1.9 “Subscriber”
means the person or legal entity that purchases, registers for, or otherwise uses the Service under this Agreement.
1.10 “Security Emergency”
means any actual or suspected event, act, omission, or vulnerability that:
(a) may materially compromise the security, confidentiality, availability, or integrity of the Service;
(b) may result in unauthorised access to the Service, Content, or Recuvery systems; or
(c) may materially disrupt the Service, other users, or the infrastructure used to provide the Service.
2. Limited Licence and Use of the Service
2.1 Licence Grant
Subject to these Terms, Recuvery Ltd grants the Subscriber a non-exclusive, non-transferable, limited licence to access and use the Service for its internal business purposes during the subscription period.
2.2 Ownership of Content
Recuvery does not review, pre-screen, or monitor Content uploaded to the Service and does not claim ownership of such Content. The Subscriber retains all rights, title, and interest in and to its Content.
2.3 Restrictions on Use
The Subscriber and its Authorised Users agree not to:
- Copy, reproduce, distribute, or resell any part of the Service without prior written consent
- Use the Service for any unlawful purpose
- Interfere with or disrupt the integrity or performance of the Service
- Attempt to gain unauthorised access to the Service or related systems
2.4 Prohibited Technical Actions
Authorised Users must not:
- Modify, reverse engineer, decompile, or adapt the Service
- Attempt to extract source code or underlying algorithms
- Misrepresent any affiliation with Recuvery or the Service
2.5 Acceptable Use
The Service must not be used to:
- Infringe intellectual property rights
- Transmit unlawful, harmful, abusive, or offensive material
- Violate any applicable laws or regulations
2.6 Prohibited Content and Activities
The Subscriber and Authorised Users must not use the Service to:
- Send unsolicited communications (spam)
- Transmit malicious software, viruses, or harmful code
- Engage in fraudulent or misleading activities
2.7 Intellectual Property Rights
All intellectual property rights in the Service, including software, design, and functionality, remain the exclusive property of Recuvery Ltd.
No rights are granted other than those expressly set out in these Terms.
2.8 Public Content
Where the Subscriber chooses to make Content publicly available through the Service, it acknowledges that such Content may be accessible to third parties.
The Subscriber is solely responsible for determining whether such sharing is appropriate.
Recuvery reserves the right to remove Content that violates these Terms.
2.9 Service Modifications
Recuvery may update, modify, or improve the Service from time to time.
Where changes materially affect functionality, reasonable notice will be provided where practicable.
Continued use of the Service constitutes acceptance of such updates.
2.10 Service Availability and Maintenance
Recuvery may suspend access to the Service for maintenance, upgrades, or operational reasons.
Where reasonably practicable, advance notice will be provided.
Recuvery may suspend access without notice in the event of a security or operational emergency.
2.11 Data Storage
Content is stored on secure infrastructure with appropriate safeguards.
The Subscriber is responsible for maintaining its own backups where required.
2.12 Use of Data
The Subscriber grants Recuvery a limited, non-exclusive, royalty-free right to process Content solely for the purpose of:
- Providing the Service
- Maintaining and improving platform functionality
Recuvery may generate aggregated and anonymised data for analytics and service improvement.
2.13 Subscriber Responsibility
The Subscriber is responsible for:
- Configuring the Service according to its business and legal requirements
- Ensuring compliance with applicable laws and regulations
- Verifying that the Service meets its intended use
2.14 Nature of the Service (VERY IMPORTANT – STRIPE SAFE)
Recuvery provides software services only.
Recuvery:
- Does not provide financial, legal, or debt collection services
- Does not act as a payment processor or intermediary
- Does not hold or control customer funds
Any payment functionality is provided by third-party providers (such as Stripe) under their own terms.
3. Access to the Service
3.1 Eligibility and Access
The Service may only be accessed and used by the Subscriber and its Authorised Users.
Authorised Users must provide accurate and complete information, including:
- Full name
- Valid email address
- Any other information reasonably required to provide the Service
3.2 Account Credentials
Each Authorised User will be assigned unique login credentials to access the Service.
- Login credentials must be kept secure and confidential
- Credentials must not be shared with any other person
- The Subscriber is responsible for maintaining the confidentiality of all account credentials
3.3 Administration of Accounts
The Primary Subscriber will act as the initial Administrator and may:
- Add or remove Authorised Users
- Assign Administrator roles
- Manage subscription settings
Administrators are deemed to have authority to act on behalf of the Subscriber in relation to the Service.
3.4 Responsibility for Users
The Subscriber is responsible for:
- All activities carried out under its account
- Actions of all Authorised Users
- Ensuring that all users comply with these Terms
3.5 Ownership of Content
All Content uploaded or submitted to the Service remains the property of the Subscriber.
Upon termination or cancellation of the Service, Recuvery will provide reasonable assistance to allow retrieval of Content, subject to applicable retention policies.
3.6 Prohibited Access Methods
The Subscriber and Authorised Users must not:
- Access or use the Service through automated means not authorised by Recuvery
- Use bots, scripts, scraping tools, or similar technologies to access the Service
- Attempt to bypass security or access controls
3.7 API Access
Where Recuvery provides access via an Application Programming Interface (“API”):
(a) Use of the API is subject to these Terms and any additional documentation provided by Recuvery
(b) The Subscriber is responsible for all activity conducted through its API usage
(c) Excessive or abusive use of the API may result in temporary or permanent suspension of access
(d) Recuvery may modify, limit, or discontinue API access at any time where reasonably necessary
(e) Recuvery is not responsible for the performance, security, or reliability of third-party applications that integrate with the Service
3.8 Security and Access Control
The Subscriber must:
- Implement appropriate internal security measures
- Notify Recuvery immediately of any unauthorised access or security breach
- Take reasonable steps to prevent misuse of the Service
3.9 Nature of Access (STRIPE SAFE CLAUSE)
Access to the Service is provided solely for the purpose of using Recuvery’s software platform. Recuvery:
- Does not control transactions between the Subscriber and its customers
- Does not act as a payment processor or financial intermediary
- Does not hold or manage funds
Any payment-related functionality is provided by third-party providers (such as Stripe) under their own terms.
4. Confidentiality
4.1 Confidential Information
Each party agrees to:
- Treat all Confidential Information as confidential
- Use such Confidential Information solely for the purpose of performing its obligations under this Agreement
- Not disclose Confidential Information to any third party without prior written consent, except as permitted under these Terms
4.2 Protection of Content and Data
Recuvery Ltd will:
- Treat all Content as confidential
- Implement appropriate technical and organisational measures to protect such Content
- Only access or use Content as necessary to provide and maintain the Service
Recuvery Ltd may disclose or process Content only:
(a) as required to provide the Service;
(b) where required by applicable law or regulatory authority;
(c) to trusted service providers (such as hosting or infrastructure providers) who are bound by confidentiality and data protection obligations; or
(d) where authorised by the Subscriber in writing.
4.3 Data Protection Compliance (IMPORTANT ADDITION)
Each party agrees to comply with applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
Where Recuvery processes personal data on behalf of the Subscriber, such processing will be carried out in accordance with the Privacy Policy and applicable data protection requirements.
4.4 Exclusions from Confidentiality
Confidential Information does not include information that:
- Is publicly available without breach of this Agreement
- Was lawfully known prior to disclosure
- Is received from a third party without restriction
- Is independently developed without use of Confidential Information
5. Security and Access
5.1 Security Measures
Recuvery Ltd implements appropriate technical and organisational measures to ensure the security of the Service and protect data against unauthorised access, loss, or misuse. These measures include:
(a) secure authentication mechanisms, including password management controls;
(b) encryption of data in transit using industry-standard protocols;
(c) secure handling and storage of authentication credentials; and
(d) adherence to recognised industry security practices.
5.2 Subscriber Responsibilities
The Subscriber is responsible for:
- Maintaining the confidentiality of login credentials
- Ensuring the accuracy of account information
- Restricting access to authorised users only
The Subscriber remains responsible for all activities carried out under its account.
5.3 Credential Protection
The Subscriber shall:
- Implement appropriate internal policies to prevent unauthorised access
- Promptly notify Recuvery of any suspected or actual unauthorised use of credentials or security incidents
5.4 Infrastructure and Hosting Security
Recuvery and its trusted service providers implement industry-standard security measures, including:
(a) secure data storage and transmission practices;
(b) network security controls such as firewalls and access restrictions;
(c) regular system monitoring, updates, and vulnerability management; and
(d) use of reputable hosting providers with appropriate security certifications where applicable.
Recuvery may, upon reasonable request, provide general information regarding its security practices.
5.5 Security Incident Notification (UK GDPR ALIGNED)
Recuvery will notify the Subscriber without undue delay upon becoming aware of a security incident affecting personal data or Content.
Where applicable under data protection laws, such notification will be made in accordance with the requirements of the UK GDPR, including the 72-hour notification framework where relevant.
5.6 Incident Response
In the event of a security incident, Recuvery will:
(a) take reasonable steps to investigate the incident;
(b) take appropriate measures to mitigate and remediate the impact; and
(c) cooperate with the Subscriber where reasonably required to address the incident.
5.7 Limitation of Responsibility
While Recuvery implements appropriate security measures, the Subscriber acknowledges that no system is completely secure. The Subscriber remains responsible for:
- Its own internal security practices
- Proper configuration and use of the Service
- Safeguarding access to its systems and devices
6. Legal Compliance
6.1 Disclosure Required by Law
Recuvery Ltd will treat all Content and Confidential Information as confidential, subject to applicable laws.
Recuvery may disclose information where required to do so by law, regulation, court order, or competent authority, including law enforcement or regulatory bodies.
Where legally permitted, Recuvery will make reasonable efforts to notify the Subscriber prior to such disclosure, to allow the Subscriber to seek appropriate protective measures.
Any disclosure will be limited to the minimum information required to comply with the legal obligation.
6.2 Handling of Legal Requests
Recuvery will only respond to valid and lawful requests for information that comply with applicable legal requirements.
Requests for disclosure of data must be submitted through appropriate legal channels in accordance with applicable laws.
Recuvery reserves the right to verify the validity and scope of any request before responding.
6.3 Costs of Compliance
To the extent permitted by law, Recuvery may recover reasonable costs associated with responding to legal or regulatory requests for information.
Such costs may include administrative, technical, and legal expenses incurred in processing the request.
6.4 Compliance with Applicable Laws
Each party agrees to comply with all applicable laws and regulations in connection with its use of the Service, including but not limited to:
- the UK General Data Protection Regulation (UK GDPR);
- the Data Protection Act 2018;
- applicable electronic communications and privacy laws; and
- applicable commercial and consumer protection laws.
The Subscriber is responsible for ensuring that its use of the Service complies with all laws applicable to its business activities.
6.5 Nature of the Service
Recuvery provides software services only.
Recuvery:
- does not provide financial, legal, or debt collection services;
- does not act as a regulated financial institution;
- does not process or hold customer funds.
Any payment-related functionality is provided by third-party providers (such as Stripe) under their own terms and policies.
7. Data Backup and Retention
7.1 Backup and Data Recovery
Recuvery Ltd maintains reasonable backup procedures designed to support the restoration of Content in the event of data loss or system failure.
However, Recuvery does not guarantee that all data can be recovered in all circumstances. Subscribers are responsible for maintaining their own backups where necessary.
7.2 Data Retention After Termination
Following cancellation or termination of the Service, the Subscriber may request access to retrieve its Content for a period of up to 30 days, unless otherwise required by law.
After this period, Recuvery may securely delete the Content in accordance with its data retention policies.
8. Payments, Billing and Subscription
8.1 Subscription Fees
Subscribers must provide a valid payment method for all paid subscriptions. All fees:
- are charged in advance on a recurring basis (monthly or annually);
- are exclusive of applicable taxes (including VAT), unless otherwise stated; and
- are payable in accordance with the selected subscription plan.
The Subscriber is responsible for any applicable taxes based on its location.
8.2 Billing Cycle
Subscriptions are billed:
- Monthly: every 30 days
- Annually: on the anniversary of the subscription start date
Free trials, where offered, will convert into paid subscriptions unless cancelled before the end of the trial period.
8.3 Payment Processing
Payments are processed securely by third-party payment providers (such as Stripe).
Recuvery does not store payment card details and does not process payments directly.
8.4 Refund Policy
Subscription fees are generally non-refundable.
However, refunds may be considered at Recuvery’s reasonable discretion, including in cases of:
- billing errors;
- duplicate payments; or
- other exceptional circumstances.
Nothing in this section affects any statutory rights under applicable law.
8.5 Cancellation
Subscribers may cancel their subscription at any time.
- Cancellation will take effect at the end of the current billing cycle
- No further charges will be applied after cancellation
- Access to the Service will continue until the end of the paid period
8.6 Subscription Changes
Subscribers may upgrade or downgrade their subscription at any time.
- Upgrades may result in immediate prorated charges
- Downgrades will take effect at the next billing cycle
Changes may affect available features, capacity, or access to certain Content.
8.7 Price Changes
Recuvery may update subscription pricing from time to time.
Reasonable notice will be provided prior to any changes. Continued use of the Service after such notice constitutes acceptance of the updated pricing.
8.8 Taxes
Where required, Recuvery will charge applicable taxes (including VAT) in accordance with UK law.
Subscribers are responsible for any taxes applicable to their use of the Service.
8.9 Third-Party Costs
The Subscriber is responsible for any external costs associated with using the Service, including:
- internet access
- data usage
- third-party service charges
9. Cancellation and Termination
9.1 Cancellation by Subscriber
The Subscriber may cancel its subscription at any time through the Service or by contacting support.
Cancellation will take effect at the end of the current billing period.
Only an Administrator is authorised to request or perform cancellation of the subscription.
9.2 Effect of Cancellation
Upon cancellation:
- The subscription will remain active until the end of the current billing cycle
- No further charges will be applied after cancellation
- Access to the Service will be discontinued at the end of the billing period
9.3 Suspension or Termination by Recuvery
Recuvery may suspend or terminate access to the Service where:
(a) the Subscriber materially breaches these Terms;
(b) use of the Service poses a security risk or threatens the integrity of the platform; or
(c) required to comply with applicable law or regulatory obligations.
Where reasonably practicable, Recuvery will provide notice prior to suspension or termination.
9.4 Breach and Cure Period
Where a breach does not pose an immediate security or legal risk, Recuvery will:
- notify the Subscriber of the breach; and
- provide a reasonable opportunity (typically up to 30 days) to remedy the issue.
If the breach is not resolved within this period, Recuvery may suspend or terminate access to the Service.
9.5 Data Access Following Termination
Following cancellation or termination, the Subscriber may request access to retrieve its Content for a period of up to 30 days, unless otherwise required by law.
After this period, Recuvery may securely delete the Content in accordance with its data retention policies.
9.6 Immediate Suspension
Recuvery may suspend access to the Service immediately and without prior notice where necessary to:
- prevent unauthorised access or security threats;
- protect other users or the platform; or
- comply with legal or regulatory obligations.
10. Limitation of Liability
10.1 Excluded Liability
Nothing in these Terms shall limit or exclude liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation; or
- any other liability which cannot be limited or excluded under applicable law.
10.2 General Limitation
Subject to Section 10.1, Recuvery Ltd shall not be liable for:
- any indirect, incidental, special, or consequential loss or damage;
- loss of profits, revenue, business, or goodwill;
- loss of data (except to the extent caused by Recuvery’s failure to implement reasonable security measures); or
- any loss arising from the use of, or inability to use, the Service.
10.3 Liability Cap
To the maximum extent permitted by law, Recuvery’s total aggregate liability arising out of or in connection with the Service shall not exceed the total fees paid by the Subscriber to Recuvery in the six (6) months preceding the event giving rise to the claim.
10.4 Service Disclaimer
The Service is provided on an “as is” and “as available” basis. Recuvery does not guarantee that:
- the Service will be uninterrupted or error-free;
- the Service will meet all of the Subscriber’s requirements; or
- all data will be recoverable in all circumstances.
10.5 Subscriber Responsibility
The Subscriber is responsible for:
- maintaining appropriate backups of its Content;
- ensuring the suitability of the Service for its intended use; and
- the security of its own systems, devices, and access credentials.
10.6 Third-Party Services
Recuvery is not responsible for services provided by third parties, including payment providers such as Stripe.
Any use of third-party services is subject to their respective terms and policies.
10.7 Allocation of Risk
The limitations and exclusions of liability in this section reflect a fair allocation of risk between the parties and are a fundamental part of the agreement between them.
11. Disclaimer of Warranties
11.1 General Disclaimer
To the extent permitted by law, the Service is provided on an “as is” and “as available” basis.
Recuvery Ltd does not provide any guarantees, warranties, or representations that the Service will:
- meet all of the Subscriber’s specific requirements;
- be uninterrupted, timely, secure, or error-free; or
- produce any particular results or outcomes.
11.2 No Implied Warranties
To the maximum extent permitted by applicable law, Recuvery excludes all implied warranties, including:
- fitness for a particular purpose;
- satisfactory quality; and
- non-infringement.
Nothing in this section limits any rights that cannot be excluded under applicable law.
11.3 Compatibility and Performance
Recuvery does not warrant that the Service will be compatible with all systems, devices, or third-party software.
The Subscriber is responsible for ensuring that its systems meet any required specifications for use of the Service.
11.4 Third-Party Services
Recuvery does not make any warranties in relation to third-party services, including payment providers such as Stripe.
Such services are governed by their own terms and conditions.
11.5 Subscriber Responsibility
The Subscriber acknowledges that:
- use of the Service is at its own risk;
- it is responsible for evaluating the suitability of the Service for its business needs; and
- it is responsible for maintaining appropriate backups and safeguards.
12. Indemnification
12.1 Indemnity by Subscriber
The Subscriber agrees to indemnify and hold harmless Recuvery Ltd from and against any losses, liabilities, damages, costs, or expenses (including reasonable legal fees) arising out of or in connection with:
(a) any breach of these Terms by the Subscriber or its Authorised Users;
(b) any misuse of the Service by the Subscriber or its Authorised Users; or
(c) any Content submitted, uploaded, or used through the Service that infringes the rights of a third party or violates applicable laws.
Recuvery will provide reasonable notice of any such claim and allow the Subscriber to manage the defence, provided that such defence is conducted in a reasonable and lawful manner.
12.2 Indemnity by Recuvery
Recuvery Ltd shall indemnify the Subscriber against any third-party claim that the normal use of the Service infringes a valid intellectual property right, provided that:
(a) the Subscriber promptly notifies Recuvery of the claim;
(b) Recuvery is given reasonable control over the defence and settlement of the claim; and
(c) the Subscriber provides reasonable assistance where required.
Recuvery may, at its option:
- modify the Service so that it becomes non-infringing;
- obtain a licence to continue providing the Service; or
- terminate the affected part of the Service and provide a pro-rata refund for any unused subscription period.
12.3 Exclusions
Recuvery shall not be liable for any claim arising from:
(a) modifications made to the Service by or on behalf of the Subscriber;
(b) use of the Service in combination with products or services not provided by Recuvery;
(c) use of the Service in a manner not in accordance with these Terms; or
(d) Content or data provided by the Subscriber.
12.4 General Conditions
Each party must:
- take reasonable steps to mitigate any losses;
- cooperate in good faith in the defence of any claim; and
- not settle any claim in a manner that imposes liability on the other party without prior written consent.
13. Payment Services and Third-Party Providers
13.1 Third-Party Payment Providers
Recuvery may integrate with third-party payment providers (such as Stripe) to enable Subscribers to accept payments from their customers.
All payment processing services are provided directly by such third-party providers under their own terms and conditions.
By using payment functionality within the Service, the Subscriber agrees to be bound by the applicable terms of the relevant payment provider, including Stripe’s terms and policies.
13.2 Role of Recuvery
Recuvery:
- provides software tools to facilitate invoicing and payment workflows;
- does not act as a payment processor, merchant of record, or financial intermediary; and
- does not process, hold, or control funds belonging to the Subscriber or its customers.
All funds are processed and settled directly by the payment provider.
13.3 Subscriber Responsibilities
The Subscriber is responsible for:
- complying with all applicable laws and regulations related to payments and transactions;
- complying with the terms of the payment provider (such as Stripe);
- ensuring that all information provided to the payment provider is accurate and complete; and
- managing disputes, refunds, and customer communications related to payments.
13.4 Fees and Charges
Any fees related to payment processing are determined and charged by the payment provider in accordance with their terms.
Recuvery may charge separate subscription fees for use of the Service, as outlined in Section 8.
13.5 Data Sharing
To enable payment functionality, certain information may be shared with the payment provider in accordance with the Privacy Policy.
The payment provider processes such information as an independent data controller under its own privacy policy.
13.6 Disputes and Chargebacks
All disputes, chargebacks, and payment-related claims are handled by the payment provider in accordance with their terms.
Recuvery is not responsible for the outcome of such disputes.
13.7 Availability of Payment Features
Recuvery may enable, modify, or discontinue payment-related integrations at any time.
Access to payment functionality may be subject to approval by the payment provider.
14. Communications
14.1 Consent to Communications
By providing your contact details, including your phone number and email address, you agree to receive communications from Recuvery Ltd for purposes including:
- account management;
- service updates;
- billing notifications; and
- customer support.
14.2 Marketing Communications
Where required by law, marketing communications will only be sent with your prior consent.
You may opt out of marketing communications at any time by following the unsubscribe instructions or contacting support.
14.3 SMS Communications
Where SMS notifications are enabled, Recuvery may send service-related messages such as:
- account alerts;
- reminders; and
- transactional updates.
Standard network and messaging charges may apply depending on your mobile provider.
You may opt out of SMS communications at any time by contacting support or following the instructions provided in the message.
14.4 Accuracy of Information
The Subscriber confirms that any contact details provided are accurate and up to date and that it has the authority to provide such contact details.
15. General
15.1 Support
Technical support is available to Authorised Users with active subscriptions via email or other support channels made available by Recuvery.
15.2 Use of Third-Party Providers
Recuvery may use third-party service providers to deliver the Service, including hosting, infrastructure, and communication tools.
Such providers are engaged in accordance with applicable data protection and confidentiality requirements.
15.3 Third-Party Services
The Service may allow integration with third-party services.
Recuvery:
- does not control such third-party services;
- does not endorse them; and
- is not responsible for their performance or availability.
Use of third-party services is subject to their own terms and policies.
15.4 Data Transmission Risk
While Recuvery implements appropriate security measures, the Subscriber acknowledges that data transmitted over the internet may be subject to risks.
Recuvery will take reasonable steps to protect data but cannot guarantee absolute security.
15.5 No Waiver
Failure by either party to enforce any provision of these Terms shall not constitute a waiver of that provision.
15.6 Entire Agreement
These Terms constitute the entire agreement between the parties and supersede any prior agreements or understandings.
15.7 Changes to Terms
Recuvery may update these Terms from time to time.
Where changes are material, reasonable notice will be provided.
Continued use of the Service after such notice constitutes acceptance of the updated Terms.
15.8 Assignment
The Subscriber may not assign or transfer its rights or obligations under these Terms without prior written consent.
Recuvery may assign these Terms as part of a merger, acquisition, or corporate reorganisation.
15.9 Governing Law
These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction.
16. SMS and Messaging Terms
16.1 Consent to Receive Messages
By providing your mobile number and opting in, you agree to receive SMS or similar messaging communications from Recuvery Ltd in relation to:
- account notifications;
- service updates;
- reminders; and
- customer support communications.
Where required by law, such communications will only be sent with your prior consent.
16.2 Eligibility
You confirm that:
- you are the account holder or authorised user of the mobile number provided; and
- you are at least 18 years of age or the age of majority in your jurisdiction.
16.3 Message Frequency
Message frequency may vary depending on your use of the Service and account activity.
16.4 Charges
Standard network and messaging charges may apply depending on your mobile service provider.
Recuvery does not charge for sending SMS messages but is not responsible for any charges applied by your network provider.

Once opted out, you will no longer receive SMS communications unless you opt in again.
